Terms of Service

Effective September 16, 2026

These terms are an agreement between Ohio Registered Statutory Agent LLC ("we," "us") and the business and people who use our statutory agent service, client portal, and website ("you"). By creating an account, adding a business, or using the service, you agree to these terms and to our Privacy Policy.

1. The service

We serve as statutory agent in Ohio for each business you add, using our agent address at 3416 Erhart Road, Litchfield, OH 44253. For each business we accept service of process and official mail during business hours, scan and publish what we receive to your portal, notify the contacts on file, store or forward physical originals as described in the portal, and keep an audit record of receipt, delivery, and acknowledgment.

We file appointments and agent changes with the Ohio Secretary of State after you sign the consent in the portal. An appointment is effective only when the state records it.

2. What we do not do

  • We are not a law firm and do not give legal, tax, or accounting advice.
  • We do not respond to lawsuits, notices, or agencies on your behalf.
  • We do not calculate, monitor, or extend deadlines. Dates shown in the portal are copied as printed on documents or are service renewal dates, not legal deadlines.
  • We do not file annual or biennial reports, pay state fees, or keep your business in good standing unless we agree to in writing.

Receiving a document through us does not change when it was legally served on your business. You are responsible for reading documents promptly and getting professional advice.

3. Your responsibilities

  • Give accurate business, entity number, and contact information and keep it current, including at least one reachable primary contact and a backup contact.
  • Make sure the person who signs the appointment consent is authorized to act for the business.
  • Acknowledge receipt of documents in the portal and act on them yourself.
  • Control who you authorize on your account and keep sign-in credentials secure. Actions taken with your credentials are treated as yours.
  • Use the service only for lawful businesses and not to receive mail for any other person or purpose.

4. Fees and billing

The service fee is $49 per business per year unless your plan says otherwise. Fees are billed in advance for each service year and renew automatically until cancelled. When we forward an original, we pass through the carrier's charge at cost, shown for your approval before shipping. Fees already paid are not refundable, except where the law requires. If a payment fails we will retry and notify you; we continue accepting service while we work with you, but we may resign as agent for accounts that remain unpaid, as described in section 6.

5. Cancelling billing

You can cancel renewal in the portal at any time. Cancelling stops future billing at the end of the current service year. It does not by itself remove us as statutory agent. Your business must appoint a new agent with the Ohio Secretary of State, or we will follow the resignation process in section 6.

6. Resignation and ending the appointment

Either party may end an appointment. You may appoint a replacement agent at any time by filing with the state. We may resign by giving written notice to the business at its last known address and filing the resignation required by Ohio law. We continue accepting service until the appointment ends as provided by law and will forward or make available anything received during that time. We may resign sooner if the account is unpaid, the business information is false, or the service is being used unlawfully.

7. Documents, originals, and retention

Scans remain available in the portal while your account is open and for at least 90 days after service ends. Physical originals are kept for the periods shown in our Privacy Policy and then securely destroyed unless you ask us to forward them first or a legal hold applies. Forwarded originals ship with signature required; carrier delays and losses are the carrier's responsibility.

8. Business Tools workspace

Plans that include a Business Tools workspace provide access to a separate third-party software platform. Your use of that platform is also subject to its terms. We may change, suspend, or discontinue workspace features, and the workspace ends when your subscription ends. Statutory agent service does not depend on the workspace.

9. Electronic records and signatures

You agree that we may provide notices, agreements, and records electronically, and that your typed name in the portal is your electronic signature with the same effect as a handwritten one. You can request a paper copy of any signed agreement by writing to us.

10. Text messages and email

By adding a mobile number you agree to receive texts about documents, reminders, and account security. Message and data rates may apply. Reply STOP to opt out or HELP for help. Email notifications continue unless you change your preferences.

11. Limitation of liability

The service is provided as described in these terms. To the fullest extent the law allows, we are not liable for indirect, incidental, special, or consequential damages, lost profits, or default judgments, including any that result from delays or failures in delivering notifications, from incorrect contact information, or from events outside our reasonable control. Our total liability for any claim relating to the service is limited to the fees you paid for the affected business in the 12 months before the claim.

Nothing in these terms limits liability that cannot be limited under Ohio law.

12. Indemnity

You will defend and indemnify us against third-party claims arising from inaccurate information you provide, your failure to act on documents, or your use of the service in violation of these terms or the law.

13. Changes to these terms

We may update these terms by posting a new version with a new effective date. For material changes we will notify account owners by email at least 30 days before they take effect. Continuing to use the service after that means you accept the change.

14. Governing law

These terms are governed by the laws of the State of Ohio. Any dispute will be brought in the state or federal courts serving Medina County, Ohio, and both parties consent to that jurisdiction.
