How we handle and keep the paper originals

What happens when you appoint us, and if you ever leave
Appointing us takes four steps in the portal: create an account, add your business, e-sign the appointment consent, and pay $49 by card. Ohio requires a written appointment of the agent and the agent's signed acceptance before the Secretary of State will record it. Your consent authorizes the appointment, and we sign the acceptance. You can file it yourself, or we then prepare and file the appointment, or the Statutory Agent Update (Form 521) if you are replacing a current agent.
The state charges $25 to record an agent change under ORC 111.16(R)(1), and we confirm that fee with you before we file. In the portal, your appointment shows Pending while the filing is with the state, then Active once the state record lists us. Service renews each year at the same price, and we email you before every renewal.
If you cancel, billing ends at the close of the period you paid for; Business Tools, if you added it, is cancelled separately and runs to the end of its month. The appointment itself stays in place until a new agent is on record with the state, and we keep accepting and scanning documents for you until then. Documents already received stay available to you. We would rather hand off cleanly than leave a business with nobody at its address.
What we leave to your attorney and accountant
We are not a law firm or an accounting firm. We do not give legal or tax advice, respond to lawsuits or agencies for you, or calculate the deadlines printed in your documents. When a summons arrives, we make sure you know about it the same business day and that the original is safe. What to do next is a conversation for you and your attorney.
We also do not file annual reports or offer compliance-calendar services. Ohio LLCs and for-profit corporations do not file annual reports, so for most of our clients the statutory agent is the main ongoing Secretary of State item.
