Statutory agent (registered agent) for Elyria, Ohio businesses
An Elyria company can use any qualified Ohio statutory agent; Ohio law does not require one in Lorain County. We are the agent for Elyria businesses at $49 a year, from one office in Litchfield, Medina County, with same-business-day scans to your portal.
Elyria is the Lorain County seat. Here is why that matters to a business
Lorain County's own history page records that Elyria was chosen as the county seat on February 14, 1823, and the county government was organized in May 1824. Two centuries later, that choice still shapes where legal papers about an Elyria business come from. The county's Justice Center is at 225 Court Street, across from the historic county courthouse, and Elyria City Hall is on the same street at 131 Court Street.
So a Lorain County lawsuit, a city permit, and a question for City Hall can all start on Court Street. The papers, though, don't come to your door. Courts and agencies mail them to the statutory agent named on your company's record with the Ohio Secretary of State.
Every Ohio LLC must keep that agent in Ohio at all times under ORC 1706.09(A), and corporations have the same duty under ORC 1701.07(A). If you formed your company with yourself as agent, the public record shows your home address. Our Ohio statutory agent service puts our Litchfield office on the record in its place.
Where are lawsuits against Elyria businesses filed?
A civil case against an Elyria company most often goes to one of two courts, both in downtown Elyria.
| Court | Where | Notes |
|---|---|---|
| Lorain County Court of Common Pleas, General Division | Lorain County Justice Center, 225 Court St., Elyria 44035, 6th and 7th floors | Civil filings go through the Clerk of Courts Civil Division, Room 105 |
| Elyria Municipal Court | John A. Howard Elyria Municipal Courthouse, 601 Broad St., Elyria 44035 | Civil cases up to $15,000 (ORC 1901.17) |
The Lorain County Clerk of Courts
The Clerk of Courts is Tom Orlando. The Civil Division, in Room 105 of the Justice Center, files cases between parties, foreclosures, and certificates of judgment, and it also takes appellate filings for the Ninth District Court of Appeals. The county lists Legal Division hours as Monday through Friday, 8:00 AM to 4:00 PM.
Elyria Municipal Court's territory
Elyria Municipal Court reaches beyond the city line. ORC 1901.02 gives it jurisdiction in the municipal corporations of Grafton, LaGrange, and North Ridgeville, and in Elyria, Carlisle, Eaton, Columbia, Grafton, and LaGrange townships. A North Ridgeville company sued over a smaller debt can end up in the same Broad Street courthouse as an Elyria one. Choosing the right court, and responding on time, is work for your attorney.
ORC 1901.17 sets the $15,000 ceiling for municipal courts statewide. A municipal court judgment can go above it only for interest, damages for detaining personal property, or costs that build up after the case starts. Bigger claims against an Elyria business are filed on Court Street, in Common Pleas.
How the Lorain County clerk serves a summons on an Elyria company
The Clerk's Legal Division posts a Civil Instructions for Service form. That is where the plaintiff tells the clerk how and where to serve. Ohio Civil Rule 4.1(A)(1)(a) makes United States certified or express mail, sent by the clerk with return receipt requested, the default method. Civil Rule 4.2(G) says who can be served for an LLC: the agent appointed to receive process, the company at a usual place of business, or a manager or member. For a corporation, Civil Rule 4.2(F) lists the agent, a usual place of business, or an officer.
The fastest address for a plaintiff to find is the agent address on the Secretary of State's business search. That's where an Elyria company's summons usually goes.
At our office, a summons, complaint, subpoena, or garnishment is scanned and published to your portal the same business day. Every authorized contact is notified, and if no one acknowledges it, we call. The original is kept for seven years. We don't give legal advice or track deadlines in the papers, so forward them to counsel right away. See how our Ohio registered agent service handles mail for the full process.
What is Elyria's city income tax rate?
Elyria's municipal income tax rate is 2.25%, as listed on the Regional Income Tax Agency (RITA) tax rates table in October 2026 for the 2026 tax year. RITA's Elyria page shows the 2.25% rate in effect since January 1, 2020, with a 100% credit for tax paid to other municipalities, limited to 2.25%.
The city's own income tax page explains how that 2.25% is built: 1.25% is permanent, and two 0.50% pieces came from voter-approved temporary levies. The city page lists the second levy as running through June 2026, while RITA still lists 2.25% for 2026. Because part of the rate depends on levies, check RITA's table at the start of each tax year rather than relying on last year's number.
Elyria contracts with RITA to process withholding, estimated payments, and individual and business returns, and has been a RITA member municipality since 1972. That means an Elyria business files city tax with RITA in Brecksville, not at City Hall. The city's page also notes that residents who work elsewhere still owe Elyria tax, with the credit for tax paid to the work city.
Filing Elyria net profit and withholding returns with RITA
RITA's business forms and its Elyria member page give the basic calendar. Your accountant should confirm how each rule fits your company.
- Net profit return: RITA Form 27, due the 15th day of the fourth month after the end of the taxable year (April 15 for calendar-year filers).
- Estimated payments: Form 20-EXT, due the 15th day of the fourth, sixth, ninth, and twelfth months of the taxable year. RITA's Elyria page says quarterly estimates are required when the anticipated amount due is $200 or more.
- Withholding: monthly, due the 15th of the following month, if the employer withheld $2,400 or more in the prior calendar year or more than $200 in any month of the preceding quarter. Everyone else files quarterly, due the last day of the month after the quarter ends.
- Losses: RITA's Elyria page says net operating losses from 2017 onward carry forward five years, and from 2023 the full loss can be used.
- Small balances: amounts of $10.00 or less are not collected or refunded, except for employer withholding.
- Minors: individuals under 18 are exempt.
If your Elyria shop will trade under a name other than its legal name, our Ohio trade name (DBA) registration service files that name with the Secretary of State for the $39 state fee plus our service fee. We don't prepare tax returns.
Elyria permits, zoning, and design review for a new business
Elyria's Forms & Permits page is the place to start before you sign a lease or hang a sign. The city's Building and Land department issues permits, enforces building codes, inspects construction, and registers and licenses contractors. Zoning questions go to the City Planning page.
The forms the city lists for businesses include:
- OBC Commercial New Application, plus non-residential electrical, plumbing, HVAC, and fire protection permits
- On-premise sign permit and hanging banner applications
- Design Review applications, with separate forms for signs and for all other projects, and design guidelines for downtown rehabilitation and new construction
- Landmarks Preservation Commission application, required for exterior changes in the West by the River Historical District
- Zoning permit application and a Request for Zoning Information form
- Alarm system permit and water, sewer, and sanitation service application
- Elyria Fire Department Mobile Food Unit application for 2026
- Contractor registration forms for building, electrical, heating, excavating, master plumber, moving and demolition, lawn irrigation, and sign erector work
The Forms & Permits page does not list a certificate of occupancy or a vendor license, and it tells readers to call the city for anything not shown. City Hall's listed hours are Monday through Friday, 8:00 AM to 4:00 PM. None of this involves your statutory agent. Permits follow the property; the agent follows the entity.
Small-business help in Elyria and Lorain County
Elyria owners have a city office, a county office, and a set of regional partners to lean on. Each description below comes from that organization's own page or from Lorain County's government site.
- City of Elyria Economic Development: says it is building support for startups, including loans and capital, affordable retail and office space, customers, and coaching, and that it helps existing businesses reach talent and capital. Its named programs include the Skill City/Elyria Works 2.0 initiative.
- Lorain County Economic Development Department: part of the county's Community Development office. It offers incentives approved by the Board of County Commissioners and acts as the county's liaison with private, nonprofit, and public partners.
- Small Business Development Center at Lorain County Community College: the Ohio SBDC center hosted by LCCC, listed by the county as a member of the Lorain County Growth Partnership.
- Lorain County Chamber of Commerce: also a Lorain County Growth Partnership member, according to the county's partners page.
- Lorain County Port Authority: the county says it assists private industry initiatives and promotes investment in business, industrial, and transportation projects.
- Team NEO: the regional JobsOhio affiliate for Lorain County, which works with the county's Economic Development Department on incentives for projects.
These groups help with plans, money, and growth. None of them can sit on your state record as agent for service of process, and none of them will forward a summons to you.
Can an Elyria company use a statutory agent outside Lorain County?
Yes. The qualifications in ORC 1706.09(A) for LLCs and ORC 1701.07(A) for corporations are about the state, not the county: an Ohio resident, or a business with an Ohio business address, at a street address that is not a post office box. Our office at 3416 Erhart Road in Litchfield meets that for an Elyria company the same way it does for one in Toledo or Marietta.
To be plain about it: we have no office, staff, or mailbox in Elyria. One office, in Medina County. A Lorain County summons, an Elyria Municipal Court complaint, or Secretary of State mail addressed to your agent comes to us, and the scan is in your portal the same business day.
The risk the statute does address is an agent who can't be found. Under ORC 1706.09(H), a plaintiff who swears by affidavit that the agent can't be found, has moved, or was never maintained can serve the Secretary of State instead, and the state forwards the papers by certified mail. A company left without an agent is sent a notice, and if the default isn't cured within 30 days, its articles or registration are canceled. Reinstatement within two years means a new filing and a fee.
The statute also protects you if an agent quits. A resigning agent must file a notice with the Secretary of State and mail a copy to the company's principal office, and the agent's authority ends 30 days after the filing (ORC 1706.09). That window gives an Elyria owner time to name a replacement.
Out-of-state companies opening an Elyria location need the same thing. Our Ohio foreign LLC and corporation registration service files the registration with us as agent.
Naming us as statutory agent for your Elyria business
Sign-up takes one sitting. Open a portal account, add the business, e-sign the consent to appointment, and pay $49 by card. Nothing goes to the state until you sign. One plan, renewed yearly at the same price, with an email before each renewal; the pricing page has the details.
For a company that already has an agent, we prepare and file the Statutory Agent Update (Form 521). The state charges $25 to record the change, and we confirm that fee with you before filing. The Ohio statutory agent change guide explains what changes on the record and what doesn't. The status reads Pending until the state shows us, then Active. Elyria statutory agent questions
Where are lawsuits against Elyria businesses filed?
Most go to the Lorain County Court of Common Pleas at the Justice Center, 225 Court Street, or to Elyria Municipal Court at 601 Broad Street. The municipal court hears civil cases up to $15,000 under ORC 1901.17. Common Pleas civil filings run through the Clerk of Courts Civil Division in Room 105. Both courts send the summons to your statutory agent's address.
What is Elyria's city income tax rate?
Elyria's rate is 2.25%, as listed on RITA's tax rates table in October 2026 for the 2026 tax year. RITA shows a 100% credit for tax paid to other cities, capped at 2.25%. The city's own page says 1.25% is permanent and the rest came from voter-approved temporary levies, so confirm the rate each year before you file.
Does an Elyria LLC need a statutory agent located in Lorain County?
No. ORC 1706.09 requires an Ohio resident or a business with an Ohio business address at a street address, with no county requirement. An Elyria LLC can name an agent anywhere in Ohio. We serve Elyria companies from our only office, in Litchfield, Medina County. We have no Elyria office, and none is needed for court papers to reach us.
Who administers Elyria's city income tax?
The Regional Income Tax Agency (RITA) administers Elyria's income tax under a contract with the city. RITA processes withholding, estimated payments, and individual and business returns, and Elyria has been a RITA member since 1972. City Hall at 131 Court Street can answer general questions, but returns and payments go to RITA, whose office is in Brecksville.
When is an Elyria business net profit return due to RITA?
It is due the 15th day of the fourth month after your tax year ends, which is April 15 for a calendar-year business. The return is RITA Form 27. Estimated payments on Form 20-EXT are due in the fourth, sixth, ninth, and twelfth months, and RITA's Elyria page requires them when the expected amount due is $200 or more.
What areas does Elyria Municipal Court cover?
Elyria Municipal Court covers Elyria plus Grafton, LaGrange, and North Ridgeville, and Elyria, Carlisle, Eaton, Columbia, Grafton, and LaGrange townships, under ORC 1901.02. The court sits at the John A. Howard Elyria Municipal Courthouse, 601 Broad Street. A business in any of those places could be sued there over a civil claim of $15,000 or less.
What permits does Elyria require before a business opens?
It depends on the building work and signage, and the city's Forms & Permits page lists the applications. Common ones are the OBC Commercial New Application, non-residential electrical, plumbing, HVAC, and fire protection permits, an on-premise sign permit, and Design Review. The page doesn't list a certificate of occupancy or vendor license, so call the city about those.
Do Elyria businesses in the historic district need extra approval?
Yes, exterior changes in the West by the River Historical District need a Landmarks Preservation Commission application, according to the city's Forms & Permits page. Elyria also has Design Review applications for signs and other projects, plus design guidelines for downtown rehabilitation and new construction. Check those before ordering a sign or starting facade work on a downtown building.
Where can Elyria small business owners get business help?
Start with the Small Business Development Center at Lorain County Community College, the city's Economic Development department, and the Lorain County Chamber of Commerce. The county's Economic Development Department offers incentives approved by the county commissioners. The Lorain County Port Authority and Team NEO, the regional JobsOhio affiliate, work with the county on business investment and incentives.
Where is the Lorain County Clerk of Courts civil office in Elyria?
It is in Room 105 of the Lorain County Justice Center, 225 Court Street, Elyria, Ohio 44035. The Clerk of Courts is Tom Orlando. The Civil Division files cases between parties, foreclosures, certificates of judgment, and Ninth District Court of Appeals filings. The county lists Legal Division hours as Monday through Friday, 8:00 AM to 4:00 PM.
