How much does an LLC cost in Ohio?
An Ohio LLC costs $99 to form: the one required state fee, paid to the Ohio Secretary of State with the Articles of Organization (Form 610). Ohio charges no annual report fee, so an LLC that serves as its own statutory agent can cost $0 a year after that.
What is the minimum cost to start an LLC in Ohio?
The minimum is $99. That is the Ohio Secretary of State's fee for filing Articles of Organization, set by ORC 111.16(F). It covers creating the LLC and recording your first statutory agent appointment, and it is the same whether you file online at OhioBusinessCentral.gov or by mail.
To spend only $99, you search the name yourself, serve as your own statutory agent at your Ohio home, and get your EIN from the IRS at no charge. Everything else on this page is either optional or depends on what your business does.
After the first year, the state charges nothing to keep an Ohio LLC on the record. There is no annual report, no franchise tax, and no renewal fee. That makes Ohio one of the cheaper states to keep an LLC in, even though the $99 formation fee is mid-range.
Ohio LLC fees, itemized
Every Ohio Secretary of State fee below comes from ORC 111.16, the statute that sets them. Expedite fees come from the service options printed on Form 610.
| Fee | Amount | Paid to | Required? |
|---|---|---|---|
| Articles of Organization (Form 610) | $99 | Ohio Secretary of State | Yes |
| Expedite 1: 2 business days | +$100 | Ohio Secretary of State | Optional |
| Expedite 2: 1 business day (walk-in only) | +$200 | Ohio Secretary of State | Optional |
| Expedite 3: 4 hours if in by 1:00 p.m. (walk-in only) | +$300 | Ohio Secretary of State | Optional |
| Preclearance review of a draft | $50 | Ohio Secretary of State | Optional |
| Name reservation, 180 days (Form 534B) | $39 | Ohio Secretary of State | Optional |
| Trade name or fictitious name (DBA) | $39 | Ohio Secretary of State | Only if you use another name |
| Trade name renewal, every 5 years | $25 | Ohio Secretary of State | Only if you keep the DBA |
| Statutory Agent Update (Form 521) | $25 | Ohio Secretary of State | Only when you change agents |
| Amendment to articles (e.g., name change) | $50 | Ohio Secretary of State | Only when you amend |
| Certificate of good standing | $5 | Ohio Secretary of State | Only if a bank or lender asks |
| Annual report | $0 | None; Ohio has no LLC annual report | No |
| EIN | $0 | IRS | Almost always |
| Vendor's license | $50 per fixed place of business | County auditor or Department of Taxation | Only for taxable retail sales |
Two fees surprise people. First, expedite fees stack on top of the $99; they do not replace it, so a 4-hour filing costs $399 in state fees. Second, the preclearance fee does not count toward the filing fee. It buys a review, and you still pay $99 when you file.
Ohio LLC cost in year one and year two: three ways to start
The biggest choice is who files the articles and who serves as statutory agent. Here are the totals for the three common setups, using only required state fees plus the services named. Our prices come from our pricing page.
| Scenario | Year one | Year two and after |
|---|---|---|
| A. You file, you serve as your own agent | $99 | $0 |
| B. You file, we serve as agent | $148 ($99 state + $49 agent) | $49 a year |
| C. We file and serve as agent | $248 ($100 filing + $99 state + $49 agent) | $49 a year |
Scenario A: all do-it-yourself
You pay $99 once. This works if you live in Ohio, are at your listed address during business hours, and are comfortable with your home address on the public record. The hidden cost is risk: a missed summons still starts the 28-day answer clock under Ohio Civil Rule 12(A).
Scenario B: you file, a commercial agent serves
You file Form 610 yourself and name us as agent. Year one is $148; after that it is $49 a year. Our address goes on the record instead of yours, and anything served is scanned to your portal the same business day. See our Ohio statutory agent service.
Scenario C: full service
We check the name, prepare and file the articles, and serve as agent from day one. Year one is $248; after that it is $49 a year. Expedited state processing, if you want it, is added at the state's price. Start with form your Ohio LLC.
What optional services cost, and when they are worth it
None of these are required by Ohio. Each is priced as our fee plus the state fee, where one applies.
| Service | Our fee | State or IRS fee | Worth it when |
|---|---|---|---|
| Statutory agent | $49 a year | $0 on new articles | You work from home, travel, or live outside Ohio |
| LLC formation filing | $100 | $99 | You want the form checked and filed for you |
| Name reservation | $50 | $39 | You will not file the articles for weeks |
| Trade name (DBA) | $50 | $39 | You market under a name other than the LLC's |
| EIN filing | $50 ($200 for paper SS-4) | $0 | You have no SSN or ITIN, or want it handled |
| Operating agreement builder | $39 | $0 | You want a written agreement without a blank template |
The national registered agent services we checked in October 2026 listed $99 to $249 a year for one entity, and some raise the price after a discounted first year. Our comparison page lists what each includes.
How much does an Ohio LLC cost each year?
The state charges $0 a year. Ohio LLCs do not file an annual or biennial report with the Secretary of State, and there is no yearly fee to stay active. Our Ohio LLC ongoing requirements guide lists what you still have to do.
Recurring costs come from other places:
- A commercial statutory agent, if you use one: $49 a year with us.
- Ohio municipal income tax on net profits, filed with each city where you do business or through the state by election under ORC 718.80.
- The Commercial Activity Tax, but only above $6 million in Ohio taxable gross receipts. The CAT's annual minimum tax ended starting in 2024.
- A trade name renewal of $25 every five years, if you have one.
- Professional fees for an accountant, if you hire one.
Watch for mailers styled as an "annual report" or "compliance" bill. Ohio LLCs have no annual report, so a mailer asking you to pay for one is a private company selling a service.
What do common changes cost after the LLC is formed?
| Change | Form | State fee |
|---|---|---|
| Change statutory agent or agent address | Statutory Agent Update, Form 521 | $25 |
| Change the LLC's name or other article terms | Certificate of Amendment | $50 |
| Register a DBA | Trade name or fictitious name registration | $39 |
| Reinstate after cancellation for no agent | Reinstatement with new agent appointment | $25 |
| Dissolve the LLC | Certificate of Dissolution | $50 |
Changing members or managers usually costs nothing at the state level, because Ohio's articles do not list them. You update the operating agreement and your bank instead. Our switching agents page explains the Form 521 process.
Is an LLC worth the cost compared with a sole proprietorship?
A sole proprietorship costs $0 to start in Ohio, because there is nothing to file with the state unless you register a trade name for $39. An LLC costs $99 more, plus an agent fee if you do not serve yourself.
What the $99 buys is a separate legal entity. Business debts and lawsuits generally stay with the LLC, not with you, as long as you keep finances separate. Our LLC vs. sole proprietorship guide compares the two over five years. For the full filing walkthrough, see how to start an LLC in Ohio.
Ohio LLC cost questions
How much does an LLC cost in Ohio?
$99 is the only required state fee, paid with the Articles of Organization (Form 610). Optional costs include expedited processing ($100 to $300), a name reservation ($39), and a commercial statutory agent ($49 a year with us). Ohio charges no annual report fee.
What is the Ohio LLC filing fee in 2026?
$99. ORC 111.16(F) sets the fee for filing articles of organization of a limited liability company at ninety-nine dollars. The amount is the same online or by mail and includes recording the first statutory agent appointment.
Does Ohio charge an annual fee to keep an LLC?
No. Ohio has no annual report, biennial report, or yearly renewal fee for LLCs. An LLC stays on the record as long as it keeps a statutory agent and is not dissolved or canceled. Any yearly cost comes from an agent service, taxes, or licenses, not from the Secretary of State.
How much does it cost to expedite an Ohio LLC?
Form 610 lists $100 for processing within 2 business days, $200 for 1 business day, and $300 for 4 hours if received by 1:00 p.m. The $200 and $300 tiers are walk-in only. Each is added to the $99 filing fee.
Is it cheaper to form an LLC online or by mail in Ohio?
Neither; the state fee is $99 either way. Online filing saves mail time and avoids paper-form rejections for typed, single-sided pages. Mail lets you pay by check or money order.
What does a second year of an Ohio LLC cost?
$0 in state fees. If you use a commercial statutory agent, add its yearly fee: $49 with us. Budget separately for city income tax returns, any license renewals, and an accountant if you use one.
Do I have to pay for a statutory agent in Ohio?
No. An Ohio resident can serve as their own LLC's statutory agent at no cost by listing their primary residence and signing the acceptance. Owners pay for an agent to keep a home address off the record, to cover absences, or because they live outside Ohio.
How much does it cost to form an Ohio LLC with a filing service?
With us, $248 in year one: our $100 filing fee, the $99 state fee, and $49 for the first year of statutory agent service. After that, the cost is $49 a year for the agent.
Is the Ohio LLC filing fee tax deductible?
Generally, startup and organizational costs are deductible for federal tax purposes, subject to IRS limits and amortization rules. How it applies to your LLC depends on its tax classification and first-year costs, so confirm with your accountant.
How much does a DBA cost for an Ohio LLC?
$39 in state fees for a trade name or fictitious name registration, which lasts five years. Renewal is $25. If we file it, our fee is $50 plus the state fee.
Can I get my Ohio LLC filing fee refunded if it is rejected?
Ask the Secretary of State's office directly about a specific filing. A rejected filing is returned with the reason, and you correct and resubmit it. To lower the risk of rejection, have the draft reviewed through the $50 preclearance option before you file.
Does a multi-member Ohio LLC cost more to form than a single-member LLC?
No. The state fee is $99 regardless of the number of members, because Ohio's Articles of Organization do not list members at all. A multi-member LLC may spend more on a professionally drafted operating agreement.
